By accessing or using any part of our website or Services (“Services”) provided by 주식회사 타란스페이스 (Taran Space Co., Ltd.) (“we,” “us,” or “our”), you (“Client” or “you”) acknowledge that you have read these Terms of Service (“Terms”) in full and agree to be bound by them. If you do not agree with these Terms, please discontinue using our Services.
3.1 Description
We provide on-demand technical and advisory services, which may include, but are not limited to:
• Software or mobile application development.
• Software consulting (e.g., code reviews, performance analysis).
• Security audits (reviewing codebases or systems for potential vulnerabilities).
• One-time or ongoing calls and consultations (phone, online, or otherwise).
Services may be performed over varying durations (from a single call or a one-week project up to three months or more) and may result in digital deliverables tailored to your needs.
3.2 Access and Collaboration
You agree to provide us with necessary access to servers, repositories, documentation, or other resources needed to deliver the Services. You may be required to sign a Non-Disclosure Agreement (NDA) or provide security clearances to enable secure, confidential work. We do not require you to maintain backups unless such backups are essential to the proper delivery of the Services.
4.1 Minimal Data Collection
We collect only basic contact information (such as your name, email, and phone number) for scheduling calls, project coordination, or sharing working materials. We do not sell or otherwise share this data with external parties for marketing.
4.2 Data Retention
We retain your personal data for as long as necessary to fulfill the purposes of providing our Services, complying with legal obligations, or resolving disputes. When no longer needed, we securely delete or anonymize it.
4.3 GDPR Compliance
If you are located in the European Union or if the EU General Data Protection Regulation (GDPR) applies, you have the right to request access, rectification, or erasure of your data. 5.1 Invoices and Payment Terms
As each engagement is customized, fees vary by scope, complexity, and duration. We issue invoices directly to you, detailing Services rendered and payment due dates. You agree to pay all invoices by the stated due date using one of the accepted payment methods (e.g., bank transfer, PayPal, credit card).
5.2 Refund and Rescheduling Policy
• If we fail to begin or adequately progress the project within the agreed timeframe due to factors within our control, we will offer a full or partial refund proportionate to the unfulfilled portion of the Services.
• If you cancel or reschedule before the project starts, please notify us in writing at least [X] days in advance. Depending on the circumstances and any preparatory work already completed, we may offer rescheduling options or a partial refund.
• If you cancel mid-project, we will discuss a fair partial refund reflecting the portion of Services not yet delivered. However, completed work remains billable, and we do not guarantee a full refund for Services already rendered.
• We reserve the right to reschedule the Services upon reasonable notice. Should we need to delay your project due to unforeseen circumstances, you may choose a refund for the unperformed work or continue under a mutually agreed revised schedule.
Upon full payment for a project, all intellectual property (“IP”) rights for consulting documentation, custom software and audit reports we develop for you will transfer to you, unless such deliverables rely on third-party components licensed under terms that restrict IP transfer.
We do not rely on external third-party tools, APIs, or subcontractors for our core Services. If we advise you to consider any third-party solutions, the choice and responsibility for their use remain entirely yours. We disclaim any liability related to such external services.
8.1 “As Is” Basis
Our Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory. This includes (but is not limited to) implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
8.2 No Security Guarantees
We cannot guarantee that our security audits or related Services will discover every vulnerability or that our recommendations will address all existing or future risks. Guidance is based on available information at the time and may require revisions as new threats emerge.
Neither party shall be liable for any failure or delay in performance under these Terms if such failure or delay is due to events beyond reasonable control, including but not limited to natural disasters, governmental actions, pandemics, power outages, or acts of civil or military authority.
To the fullest extent permitted by law, neither Taran Space Co., Ltd. nor its affiliates, employees, or agents shall be liable for any indirect, special, incidental, or consequential damages (including loss of profits or revenues), under any theory of liability. In all cases, our total liability for any claim arising out of or related to the Services shall not exceed the lesser of (a) 5,000,000 Korean Won, or (b) the total amount you actually paid to us for the specific Services during the twelve (12) months immediately preceding the incident giving rise to the claim.
You agree to indemnify, defend, and hold harmless Taran Space Co., Ltd. and its affiliates from any third-party claims, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising from or related to your use of our Services, your breach of these Terms, or any violation of applicable laws.
12.1 Termination by You
You may discontinue using our Services at any time. If invoices remain unpaid for work delivered up to the date of discontinuation, you remain responsible for those amounts.
12.2 Termination by Us
We reserve the right to suspend or terminate your access to our Services at any time, with or without notice, if we believe you have violated these Terms or engaged in any unlawful or harmful behavior.
12.3 Survival
Sections that, by their nature, should survive termination (e.g., IP ownership, confidentiality, disclaimers, limitation of liability, indemnification) will survive.
These Terms are governed by the laws of the Republic of Korea without regard to conflict of law principles. Any dispute arising out of or in connection with these Terms shall be resolved in the courts of Seoul, South Korea, and you consent to personal jurisdiction therein.
14.1 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations freely in connection with corporate mergers, acquisitions, or reorganizations.
14.2 Severability
If any provision of these Terms is deemed invalid or unenforceable by a competent court, the remaining provisions remain in full force and effect.
14.3 Entire Agreement
These Terms—together with any referenced invoices, statements of work, and incorporated policies—constitute the entire agreement between you and Taran Space Co., Ltd. regarding your use of our Services. They supersede all prior or contemporaneous agreements or communications.
14.4 Changes to These Terms
We reserve the right to revise these Terms at any time by posting an updated version on our website. Your continued use of the Services after we post any modifications signifies your acceptance of the revised Terms.
